CONSTITUTION

ARTICLE I: NAME 

The name of this organization shall be: "The White Bear Beach Community Club, Inc." 

ARTICLE II: PURPOSE 

  1. This Club shall have for its objective the striving for better understanding and mutual goodwill to all living within the community boundaries as established by the organization, to promote acquaintance between new and current residents and the affording of help and relief to the community as deemed appropriate. 

  2. This Club shall be non-commercial, non-sectarian, and non-partisan. No commercial enterprise or any candidate shall be endorsed by this Club. The name of this Club, its officers in their capacities, or the beach property shall not be used in any connection with a commercial concern or with any interest or for anything other than the regular work of the Club. 

  3. This Club shall provide for its paid members within the established boundaries a community swimming beach. The maintenance of this beach shall be the responsibility of its members. 

  4. The White Bear Beach Community Club beach property cannot be sold as long as there is a White Bear Beach Community Club Inc. in existence. 

ARTICLE III: MEMBERSHIP 

Any person eighteen (18) years of age or over living within the boundaries, in agreement with the purposes of the Club as stated in this constitution, may become and remain a member of the Club by payment of the annual dues to the Treasurer. 

ARTICLE IV: DUES 

  1. The annual dues of the members of this Club shall be paid by June I of each year. A member failing to pay such dues by then shall be classified as delinquent and shall be assessed a late fee of $10.00.

  2. Dues are paid annually per family unit.

  3. Members sixty five (65) years or older who have been in good standing for ten years are to be issued free membership and tags. 

  4. Any change in dues shall be determined by a majority vote of the membership present at the October meeting. 

  5. Any special assessment shall be submitted at a regular meeting to be voted upon at the next regular meeting. A majority of members present shall be required for passage. Delinquency in payment of assessments shall be handled in the same manner as delinquent dues. 

ARTICLE V: OFFICERS 

  1. The officers of this Club shall be a President, Vice President, a Secretary and a Treasurer, each elected on a staggered, every other year basis, with two officers being elected on alternative years each with a 2‐year term. Officers shall assume their duties at the October meeting. They shall serve until election at the following October meeting.

  2. Nominations for office shall be made by a Nominating committee consisting of three (3) members in good standing who volunteer and/or are appointed by the President one two months preceding the election of officers. Election of officers shall be either by a show of hands or by ballot at the October meeting of the Club, at which time additional nominations can be made from the floor. Any nominations, including those from the floor, must have the person’s consent before submitting the nomination; all new officers shall assume official duty at the October meeting. All officers shall hold office for one (1), 2‐year term. There shall be no reelection of a person to that same office upon his or her immediate completion of a 2‐year term in that capacity. Any person completing a 2‐year term in one office can be elected to a new 2‐year term in a different office. However, following the completion of that second 2‐year term, any person having served in such manner shall be ineligible for election to any other office, for a period of one year. A person in order to be eligible to hold office or to vote must be a member in good standing.

  3. Said Nominating committee shall solicit input from WBBCC membership for candidate nominations via a membership‐wide email blast and/or posts to WBBCC email account and Facebook page. All such nominations shall be received no less than two weeks before regular Club election meeting in October. Nominating committee shall also solicit members to serve as standing committee chairpersons, in the event that such position(s) need to be filled for the upcoming year. A vacancy occurring in any office shall be filled by majority vote of the members attending the Club at the next regular meeting.

ARTICLE VI: DUTIES OF OFFICERS 

  1. The President of the Club shall preside at all the meetings of the Club and the Executive Board, and shall be a member exofficio of all committees except the nominating committee; shall appoint special committees, and shall perform all other duties pertaining to the office,  

  2. The Vice President shall attend all meetings of the Club, act as aid to the President, and perform the duties of the President in the absence of the President. 

  3. The Secretary shall keep accurate records of all meetings of the Club and of the Executive Board, and shall perform such other duties as may be delegated to him/her such as publicity, sending notices to members, and correspondence etc. 

  4. The Treasurer shall receive all monies of the Club; keep an accurate record of receipts and expenditures; pay out from regular funds such items; start and set up trash and satellite services, order beach tags and that which may be approved by a majority vote of club members present at the regular meeting, prepare next year's budget and present it at the annual meeting in October. Items under fifty dollars ($50.00) with a receipt may be submitted directly to the Treasurer for payment. Items over fifty dollars ($50.00) must have the consent of the majority of the membership present at the regular meeting. 

ARTICLE VII :FUNDS 

The funds of the Club shall consist of a General Fund. 

ARTICLE VIII: MEETINGS 

  1. The regular meeting of the Club shall be held the second Monday during the months of April, May, June, July, August, September, October, and November unless otherwise voted upon by the majority of members present at the regular meeting. 

  2. The October meeting of each year shall be known as the annual meeting at which time all new officers will take office and reports will be submitted.

  3. Special meetings may be called by a majority of the Executive Board at any time upon due notice being given to all Community Club members in good standing. 

  4. Any member of the Executive Board may call an Executive Board meeting with due notice being given to the other Board members. 

  5. The privilege of holding office, making motions, debating and voting shall be limited to members of the Club whose dues or special assessments are not in arrears, 

  6. Nine (9) members at any meeting shall constitute a quorum. 

  7. In the absence of the President and the Vice President, the next officer present shall conduct the meeting.

ARTICLE IX: EXECUTIVE BOARD 

  1. The Executive Board shall consist of the officer of the Club and the chairpersons of the standing committees.

  2. All elected officers of the Club shall meet within thirty (30) days to appoint chairpersons of the various standing committees of Hospitality, Outreach, Membership, Dock, and Beach Steering so as to have those appointments made by the Club meeting in November. These chairpersons of the standing committees are appointed for a term of one year, and may be reappointed by a majority of the Executive Board. Chairpersons of all standing committees shall present ideas of plans of work to the Executive Board and no work shall be undertaken without approval of the Executive Board.

  3. The duties of the Executive Board shall be to transact necessary business between meetings of the Club, and such other business as may be referred to it by the Club.

ARTICLE X: AUDIT 

The books must be audited by a committee of three (3) appointed or volunteered members who meet as a group prior to the October meeting, before new officers are seated. The Treasurer shall not be a member of the audit committee. 

ARTICLE XI: AMENDMENTS 

This constitution may be amended at any regular meeting of the Club by a two thirds (2/3) vote of the membership present. Any proposed amendment must be submitted in writing at a regular meeting for discussion.  All Club members in good standing must then receive the final version of the proposed amendment in writing, by electronic or printed means, at least one (1) month before being voted upon at a regular meeting. 

BY-LAWS

Section 1 - All meeting will start promptly at the time designated in the call for meeting. 

Section 2 - Any member may demand a vote by ballot upon any motion or election. 

Section 3 - A member may speak only once on any subject until all members wishing to speak shall have had an opportunity to do so. 

Section 4 - The presiding officer shall not take part in any discussion without vacating the chair and appointing an acting president.

Section 5 - Every member shall vote any question when requested to do so. 

Section 6 - All reports of committees shall be made in writing when requested. 

Section 7 - The order of business of the regular meeting of the Club shall be as follows: Call to Order, Pledge to the Flag, Attendance being written in the Secretary's book, Reading of the minutes, Treasurer's Report, Reports of Standing Committees, Reports of Special Committees, Unfinished Business, New Business, Program (if applicable), and Adjournment. Necessary changes in this order shall be left to the discretion of the President or presiding officer. 

Section 8 - Boundaries: 

A. The boundaries for membership in this organization shall consist of the following: 

Eastern: from Lake Avenue north along both sides of East County Line to the railroad tracks, then extending from the railroad tracks along the western side of Portland Avenue to Buffalo Street. 

Northern: along both sides of Buffalo Street from Northwest to the western side of Portland Avenue, then from Portland Avenue continuing along the railroad tracks to and including the eastern side of East County Line. 

Western: south of Buffalo Street, bounded on the west by both sides of Northwest Avenue to Lake Avenue. 

Southern: from Northwest Avenue along Lake Avenue to East County Line. 

B. The following exceptions to the above boundaries were granted membership when the northern boundary was moved from Taylor to Buffalo (approved in 1987) and when the western boundary was moved from Pacific to Northwest (approved in 1992). They are members only as long as they reside at the address listed. This membership is non-transferable if the house is sold or rented to someone else. 

C. The listed members must continue to be paid – up members or the membership will be forfeited and no reinstatement permitted.

Section 9 - Parliamentary practice not provided for in the foregoing constitution and by-laws shall be conducted using published guidelines, which are authorized by the American Institute of Parliamentarians. This does include Robert's Rules of Order and Sturgis Standard Code of Parliamentary Procedure

Section 10 - The White Bear Press shall be the official publication of all notices regarding meetings and activities of the Club.
